1. Services Offered

Banadama Niafrik Ltd (RC: 9043180) provides:

  • Factory sourcing and verification
  • Sample coordination
  • Quality control inspections
  • Fashion modeling services
  • Trade facilitation
  • Shipping coordination

2. Service Agreement

  • All services custom-quoted after consultation
  • Written agreement required before work begins
  • Scope of work clearly defined in contract
  • Timeline estimates, not guarantees

3. Payment Terms

  • 50% deposit required to start
  • Balance due before final deliverables
  • Accepted methods: Wise, PayPal, Flutterwave, Crypto
  • Payments non-refundable except as stated in Refund Policy
  • Late payment: 2% monthly interest after 30 days

4. Client Responsibilities

  • Provide accurate specifications
  • Respond to communications within 48 hours
  • Make timely decisions on samples
  • Pay invoices on time
  • Comply with import regulations in destination country

5. Liability Limitations

  • We verify factories but cannot guarantee against fraud
  • Not responsible for customs delays or duties
  • Not liable for product defects after PSI approval
  • Not liable for factory production delays
  • Maximum liability: Amount paid for our service only
  • Force majeure exemptions apply

6. Intellectual Property

  • Client retains rights to their designs
  • We retain rights to portfolio images (with permission)
  • Modeling photos: Usage rights defined in contract
  • Confidential information protected

7. Dispute Resolution

  • Good faith negotiation first (30 days)
  • Mediation through Bangladesh Chamber of Commerce
  • Arbitration in Dhaka, Bangladesh
  • Governing law: Bangladesh Contract Act 1872
  • Jurisdiction: Courts of Dhaka

8. Termination

  • Either party may terminate with 14 days notice
  • Client pays for work completed to termination date
  • No refund for completed work
  • Outstanding invoices due immediately

9. Force Majeure

Not liable for delays due to:

  • Natural disasters
  • Political unrest, war
  • Pandemic restrictions
  • Factory closures beyond our control
  • Government actions

10. Modifications

  • We reserve right to modify terms
  • Changes posted on website
  • Continued use = acceptance
